1. Who Operates the Service
Team is a music release planning and coordination platform operated by Team Rollouts, Inc., a Delaware corporation doing business as "Team" ("Company," "we," "us," or "our").
These Terms of Service ("Terms") govern your access to and use of the Team platform, including our website, applications, AI assistant, and related services (collectively, the "Service").
2. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the modified Terms.
3. Account Eligibility & Security
To use the Service, you must:
- Be at least 16 years of age
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access to your account
You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.
Organization accounts may invite team members. The account owner is responsible for team member compliance with these Terms.
4. User Responsibilities
When using the Service, you agree to:
- Use the Service only for lawful purposes related to music release planning and promotion
- Provide accurate information about your releases, artists, and organization
- Respect the intellectual property rights of others
- Maintain confidentiality of information shared by team members and collaborators
- Comply with all applicable laws and industry regulations
You agree NOT to:
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to other accounts or systems
- Use the Service to harass, abuse, or harm others
- Scrape, crawl, or extract data from the Service without permission
- Resell, sublicense, or redistribute the Service without authorization
- Use automated systems to access the Service in a manner that exceeds reasonable use
- Circumvent any security or access controls
- Impersonate others or misrepresent your affiliation with any person or entity
5. Payment & Subscription Terms
Subscription Plans
The Service offers various subscription tiers with different features and pricing. Current pricing and features are available on our website.
Billing
Subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method for the subscription fees.
Automatic Renewal
Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings.
Refunds
Subscription fees are generally non-refundable. However, we may provide refunds or credits at our discretion in cases of service issues or billing errors. Contact legal@teamrollouts.com for refund requests.
Price Changes
We may change subscription prices with 30 days' notice. Price changes will take effect at your next billing cycle.
6. License Grant and Restrictions
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes related to music release planning and promotion.
This license does not include the right to:
- Modify, copy, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or alter any proprietary notices or labels
- Use the Service to build a competing product
- Transfer your license to any third party
7. Your Content
You retain ownership of all content you upload to the Service ("Your Content"), including release information, documents, images, and communications.
By uploading content, you grant us a worldwide, non-exclusive license to use, store, process, and display Your Content solely to provide and improve the Service. This license ends when you delete Your Content or close your account.
You represent that you have all necessary rights to upload Your Content and that it does not violate any third-party rights or applicable laws.
8. Intellectual Property Rights
The Service, including all software, designs, text, graphics, logos, and other materials (excluding Your Content), is owned by Team Rollouts, Inc. and protected by copyright, trademark, and other intellectual property laws.
"Team," the Team logo, and related marks are trademarks of Team Rollouts, Inc. You may not use our trademarks without prior written permission.
Feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.
9. AI Assistant (Teammate)
The Service includes an AI-powered assistant ("Teammate") that provides suggestions, generates content, and assists with release planning.
You acknowledge that:
- AI-generated content is provided for informational purposes and should be reviewed before use
- AI suggestions are not professional legal, financial, or marketing advice
- You are responsible for verifying the accuracy and appropriateness of AI-generated content
- AI capabilities may change or be updated over time
- Conversations with the AI may be used to improve the Service
10. Third-Party Integrations
The Service integrates with third-party platforms (Spotify, Gmail, social networks, etc.). Your use of these integrations is subject to the respective third-party terms of service.
We are not responsible for the availability, accuracy, or policies of third-party services. Third-party integrations may be modified or discontinued at any time.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We disclaim all warranties, including but not limited to:
- Merchantability and fitness for a particular purpose
- Non-infringement
- Accuracy, reliability, or completeness of content
- Uninterrupted or error-free operation
- Results or outcomes from using the Service
We do not guarantee that the Service will meet your specific requirements or achieve particular results for your music releases.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Team Rollouts, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or violation of these Terms.
14. Termination & Suspension
By You:You may terminate your account at any time through account settings or by contacting support. Upon termination, your right to use the Service ceases immediately.
By Us:We may suspend or terminate your access to the Service at any time, with or without cause, including for:
- Violation of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- Extended periods of inactivity
- Requests by law enforcement
Upon termination, we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination will remain in effect.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Dispute Resolution:Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Class Action Waiver:You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date. For significant changes, we may also notify you by email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
17. General Provisions
- Entire Agreement:These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
- Severability:If any provision is found unenforceable, the remaining provisions will continue in effect.
- Waiver:Our failure to enforce any right or provision does not constitute a waiver of that right.
- Assignment:You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
- Force Majeure:We are not liable for delays or failures due to circumstances beyond our reasonable control.
